About the review
Council is responsible for our governance and leading the review. Council members are working with our internal governance specialist.
They’ve set up a project team, with Odeth Richardson, Paul Dunning and Cathryn Holding, working with Steve Ford, Chief Executive, and our internal governance specialist. They are also seeking expert advice and learning from other organisations.
What’s the governance review looking at?
Broadly, the review is looking at:
- our legal structure
- compliance with charity, trade union and company law, regulation and good practice
- how Council can get the expertise it needs to govern all the key aspects of the organisation
- transparency and accountability about how we are run and make decisions
- improving the understanding of the differences between BAOT and RCOT
- how our governance can support a stronger unified message on the things that are important to the profession.
How long is this going to take?
We’re taking a phased approach to strengthening our governance over the next two to three years. This year is about getting our house in order to improve decision making and compliance, and reduce the risk of regulatory intervention. The next two years are more about looking at the governance model that will best serve us in the future.
We’re taking time to carry out a comprehensive review, engage with members and make changes at a pace that the organisation can manage.
2024: Getting our house in order
Focusing on updating our charity operating rules so they’re fit for purpose to improve decision making and compliance, and reduce the risk of regulatory intervention. Bringing in expertise, such as finance, to support elected Directors. They will help run the business aspects of the organisation and create more distinction between BAOT and RCOT.

2025/26: Looking to the future
Looking at the governance model that will best serve us in the future. This will include looking at our overall legal structure and how we can make it more effective, as well as the make-up of our governing bodies to see long term what roles, experience and knowledge are needed.
